Agreement to Our Legal Terms
We are Open Meetings ('Company', 'we', 'us', or 'our'), a company registered in England at 2 Davenport Street, Congleton, Cheshire CW12 4DU.
We operate the website https://openmeetings.co.uk (the 'Site'), as well as any other related products and services that refer or link to these legal terms (the 'Legal Terms') (collectively, the 'Services').
A platform used to advertise and enter open athletics meetings.

We will provide you with prior notice of any scheduled changes to the Services you are using. The modified Legal Terms will become effective upon posting or notifying you by notifications@openmeetings.co.uk, as stated in the email message. 1. Our Services

3. User Representations
By using the Services, you represent and warrant that:

- You have the legal capacity and you agree to comply with these Legal Terms;
- You are not a minor in the jurisdiction in which you reside;

- You will not use the Services for any illegal or unauthorized purpose; and
- Your use of the Services will not violate any applicable law or regulation.
If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Services (or any portion thereof).
4. User Registration

We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.
5. Purchases and Payment

You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Services. You further agree to promptly update account and payment information so that we can complete your transactions and contact you as needed.
6. Subscriptions
Billing and Renewal
Your subscription will continue and automatically renew unless cancelled. You consent to our charging your payment method on a recurring basis without requiring your prior approval for each recurring charge, until such time as you cancel the applicable order.
Free Trial
We offer a 30-day free trial to new users who register with the Services. The account will be charged according to the user's chosen subscription at the end of the free trial.
Cancellation
You can cancel your subscription at any time by logging into your account. Your cancellation will take effect at the end of the current paid term.
7. Policy
All sales are final, and no refund will be issued.
8. Prohibited Activities
You may not access or use the Services for any purpose other than that for which we make the Services available. The Services may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us.
As a user of the Services, you agree not to:
- Systematically retrieve data or other content from the Services to create a compilation, database, or directory without written permission from us.
- Trick, defraud, or mislead us and other users in any attempt to learn sensitive account information such as user passwords.
- Upload or transmit viruses, Trojan horses, or other material that interferes with any party’s uninterrupted use of the Services.
- Engage in unauthorized framing of or linking to the Services.
- Engage in any automated use of the system, such as using scripts to send comments or messages.
- Make any unauthorized use of the Services.
9. User Generated Contributions
The Services may invite you to chat, contribute to, or participate in blogs, message boards, online forums, and other functionality. Contributions may be viewable by other users of the Services and through third-party websites. Any Contributions you transmit may be treated as non-confidential and non-proprietary.
When you create or make available any Contributions, you represent and warrant that:
- Your Contributions do not infringe the proprietary rights of any third party.
- You are the creator and owner of or have the necessary licenses to use your Contributions.
- Your Contributions are not false, inaccurate, or misleading.
- Your Contributions are not unsolicited advertising or spam.
10. Contribution License
By posting your Contributions, you grant us an unrestricted, irrevocable, non-exclusive, transferable, royalty-free license to use, copy, reproduce, publish, and distribute such Contributions in any media formats and through any media channels.
11. Third-Party Websites and Content
The Services may contain links to other websites ('Third-Party Websites'). Such Third-Party Websites and content are not monitored or checked for accuracy by us, and we are not responsible for any Third-Party Websites accessed through the Services.
12. Advertisers
We allow advertisers to display their advertisements in certain areas of the Services. We simply provide the space to place such advertisements and have no other relationship with advertisers.
13. Services Management
We reserve the right, but not the obligation, to:
- Monitor the Services for violations of these Legal Terms;
- Take appropriate legal action against anyone who, in our sole discretion, violates the law or these Legal Terms, including reporting such user to law enforcement authorities;
- In our sole discretion, refuse, restrict access to, limit the availability of, or disable any of your Contributions or any portion thereof;

15. Copyright Infringements
We respect the intellectual property rights of others. A copy of your Notification will be sent to the person who posted or stored the material.

16. Term and Termination

Without limiting any other provision of these Legal Terms, we reserve the right to, in our sole discretion and without notice or liability, deny access to and use of the Services (including blocking certain IP addresses), to any person for any reason, including for breach of any representation, warranty, or covenant in these Legal Terms or any applicable law.
We may terminate your use or delete your account at any time, without warning, in our sole discretion. If we terminate or suspend your account, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party.
In addition to terminating or suspending your account, we reserve the right to take appropriate legal action, including pursuing civil, criminal, and injunctive redress.
17. Modifications and Interruptions
We reserve the right to change, modify, or remove the contents of the Services at any time or for any reason at our sole discretion without notice. However, we have no obligation to update any information on our Services. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Services.
We cannot guarantee the Services will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance on the Services, resulting in interruptions, delays, or errors. You agree that we have no liability for any loss, damage, or inconvenience caused by your inability to access or use the Services during any downtime or discontinuance.
18. Governing Law
These Legal Terms are governed by and interpreted according to the laws of England and Wales, excluding the United Nations Convention on Contracts for the International Sale of Goods.
If you are an EU resident, you additionally possess the protection provided by obligatory provisions of the law in your country. Open Meetings and you both agree to submit to the non-exclusive jurisdiction of the courts of Cheshire East, allowing you to make a claim to defend your consumer protection rights in England or the EU country in which you reside.
19. Dispute Resolution
Informal Negotiations
To expedite resolution and control the cost of any dispute, controversy, or claim related to these Legal Terms (each a 'Dispute') brought by either you or us (individually, a 'Party' and collectively, the 'Parties'), the Parties agree to first attempt to negotiate any Dispute informally for at least thirty (30) days before initiating arbitration. Informal negotiations commence upon written notice from one Party to the other Party.
Binding Arbitration
Any dispute arising from the relationships between the Parties to these Legal Terms shall be determined by one arbitrator in accordance with the Arbitration and Internal Rules of the European Court of Arbitration. The seat of arbitration shall be Manchester, England. The language of the proceedings shall be English, and applicable rules of substantive law shall be the law of England.
Restrictions
The Parties agree that any arbitration shall be limited to the Dispute between the Parties individually. No arbitration shall be joined with any other proceeding, and no Dispute may be arbitrated on a class-action basis or on behalf of the general public.
Exceptions to Informal Negotiations and Arbitration
The Parties agree that the following Disputes are not subject to informal negotiations or arbitration: (a) Disputes to enforce or protect intellectual property rights; (b) Disputes related to theft, piracy, invasion of privacy, or unauthorized use; and (c) claims for injunctive relief. These Disputes shall be decided by a court of competent jurisdiction.
20. Corrections
There may be information on the Services that contains typographical errors, inaccuracies, or omissions, including descriptions, pricing, availability, and other information. We reserve the right to correct any errors, inaccuracies, or omissions and to update the information on the Services at any time, without prior notice.
21. Disclaimer
THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
22. Limitations of Liability
IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT OR REVENUE, ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
23. Indemnification
You agree to defend, indemnify, and hold us harmless from any loss, damage, liability, claim, or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of the Services, breach of these Legal Terms, or violation of the rights of a third party.
24. User Data
We will maintain certain data that you transmit to the Services for managing performance, but we are not liable for any loss or corruption of your data. You are solely responsible for backing up your data.
25. Electronic Communications, Transactions, and Signatures
